GENERAL TERMS OF SALE

GENERAL INFORMATION
These General Terms and Conditions of Sale (hereinafter "General Terms and Conditions") are drafted in accordance with the legislative provisions set out in the Civil Code, Legislative Decree no. 70 of 09.04.2003 on information society services and electronic commerce and Legislative Decree no. 206 of 06.09.2005 (so-called. Consumer Code), and, in particular, Chapter I of Title III of Part III (Articles 45 to 67), and govern the offer and sale of products through the website www.annadani.com (hereinafter referred to as the Site).
Dani brand products marketed on the Site (hereinafter referred to as the Products, also in the singular declension) are sold by Dani group srl, with registered office in Via Caduti sul Lavoro n. 23, 35010 Fontaniva (PD).

1) SCOPE OF APPLICATION
1.1 The General Conditions shall apply to and govern all contracts of sale concluded through the Site by Dani Group srl, as identified above, hereinafter "the Seller".
1.2 The General Conditions may be subject to change at any time; each User, therefore, is required to consult them before proceeding with each purchase.
1.3 In any case, the version of the General Conditions in force on the date the purchase order is sent shall apply to each sale.

2) COUNTRIES OF SHIPPING
2.1 The purchase of Products through the Site is currently possible if shipping is to take place in Italy (including the islands).
2.2 The Seller reserves the right to expand or restrict the list of countries referred to in paragraph 2.1.
2.3 Delivery is also expected in the Territory of the Republic of San Marino and the Vatican State;

3) PURCHASES ON THE SITE - RESTRITION
3.1 The purchase of Products on the Site is reserved exclusively for natural persons acting as consumers and who are over eighteen years of age.
3.2 A consumer is defined as a natural person acting for purposes unrelated to any commercial, entrepreneurial, handicraft and professional activity carried out.
3.3 The purchase made through the Site implies for the User full knowledge and acceptance, without reservation, of the General Conditions.

4) DIRECT INFORMATION FOR CONCLUDING THE CONTRACT
4.1 To purchase online, the User must fill out the login form on the Site;
4.2 It is forbidden for the User to enter data, in whole or in part, untrue; the personal data and e-mail communicated must, therefore, be personal and real, and not of third persons and / or fantasy.
4.3 The User, by filling out the login form, attests, under his/her sole responsibility:
i. the correctness and truthfulness of the data required for the activation of the service;
ii. that he/she is at least eighteen years of age;
iii. that he/she is acting as a consumer.
4.4 As by law, prior to the confirmation of the order, the Seller will make available to the User all the information referred to in Article 49 of the Consumer Code; information on the right of withdrawal, in particular, is provided by means of the Model Instructions on the right of withdrawal in Annex I part A provided for in Article 1 paragraph 1 of Legislative Decree no.21 of 21.02.2014.
4.5 As provided for in Article 51 paragraph 3 of Legislative Decree No. 206/2005, the function provided for submitting the order carries the specification "Order with obligation to pay".
4.6 In order to finalize each order, the User is required to confirm the economic transaction having as its object the payment of the price of the Products placed in the shopping cart; to this end, at the end of the procedure of choosing the Products and confirming the User's data, the Site redirects the latter to the page of the bank handling the economic transaction.
4.7 Orders that do not record the corresponding economic transaction are automatically cancelled.
4.8 Once it has received confirmation of the validity of the means of payment indicated in the order and confirmation of the same, the Seller will send the User, by e-mail, to the e-mail address communicated during login, a written confirmation of the order, as provided for by art. 51 paragraph 7 of Legislative Decree no. 206/2005.
4.9 The offer of Products through the Site constitutes an offer to the public pursuant to art. 1336 cc; the completion and proper sending of an order through the Site implies, therefore, acceptance of the aforementioned offer. The contract, therefore, is considered concluded when the Seller has knowledge of the User's acceptance, formalized by means of the order form referred to above.
4.10 The Seller, however, reserves the right not to accept the order in the event of failure to authorize payment by credit card by the relevant manager.
4.11 The User may, at any time, monitor the status of his order by contacting Customer Service through the appropriate section.
4.12 The User, in any case, is required to always keep the order number communicated to him by the Seller, since it must be indicated in any communication with the Seller.
4.13 The language available to conclude a contract of sale through the Site is Italian.
4.14 The User undertakes, once the online purchase procedure is concluded, to ensure that the General Conditions are kept, which, moreover, he will have already viewed and accepted, as an obligatory step in the purchase procedure.
4.15 In the event of non-acceptance of the order, the Seller will promptly notify the User, by e-mail.

5) CHOICE AND AVAILABILITY OF PRODUCTS
5.1 The Products offered for sale through the Site are articles of clothing and accessories, Dani brand, present in the catalog published on the Site at the time of the order by the User.
5.2 The catalog of Products may be periodically updated by the Seller, which, therefore, does not make any guarantee as to the permanence of a product among those available on-line; in no case does the Seller guarantee the availability of all sizes/versions for each garment/color present in the catalog.
5.3 In the catalog of the Products, each product is accompanied by a descriptive card that illustrates its main characteristics; the images and colors of the Products present in the descriptive cards may, however, not correspond faithfully to the real ones, due to the effect of the settings of the computer systems or devices used by the User to view the Site. The images published, therefore, must be understood as indicative and subject to normal tolerances of use.
5.4 If, although selectable through the order form, the product chosen is not available, the Seller will promptly notify the User by e-mail, proposing the termination of the contract of sale, and the consequent refund of the price, including any shipping costs, if applied, if already paid.

6) PRICES, CONDITIONS OF PURCHASE AND METHOD OF PAYMENT
6.1 The sale prices are those published online at the time the order is finalized and are inclusive of VAT; prices are expressed in euros.
6.2 The prices indicated in the online catalog may be subject to change without prior notice. It is the User's responsibility, therefore, to ascertain the final price before submitting the purchase order.
6.3 Payment for the Products can only be made by the following methods:
- credit card (Visa, Mastercard, American Express);
- PayPal;
6.4 The sale price is charged when the order is shipped.

7) DELIVERY METHODS, EXPENSES AND OTHER CHARGES
7.1 The Products are delivered, by means of contracted couriers, directly to the User, to the shipping address specified by the latter when placing the order.
7.2 The Site allows the User to request delivery of the Products to an address other than the User's own, provided that said address is included in the User's country of residence indicated during login; in any case, it is the User's responsibility to indicate all the references necessary for the successful delivery (for example, if it is the address of a third party, specify the name on the doorbell/intercom at which the delivery is to be made).
7.3 It is not possible to collect the Products purchased through the Site directly from the Seller's warehouse.
7.4 The expected shipping costs and types may vary depending on the shipping method chosen by the User, as per the table found on the Site.
7.5 Said costs and any additional costs shall be borne by the User. The relevant amount will be expressly indicated in the order summary, before the User proceeds to the transmission of the order, as well as in the order confirmation e-mail referred to in art. 4.
7.6 Upon delivery of the Products to the courier, the User will receive a confirmation communication from the Seller by e-mail, in which the name of the courier used and the details of the shipment will be expressly indicated.
7.7 In Italy, delivery is expected within seven working days.
7.8 The delivery procedure provides that, in case of absence of the recipient at the time of access of the courier, the person in charge will leave a notice, in order to finalize the shipment later, in which will be indicated the contact details to be contacted to arrange the second delivery.
7.9 The User always has the opportunity to check the status of his order by contacting the Customer Service through the appropriate section.
7.12 The delivery of the Products shall be deemed completed when the consumer, or the third party designated by the consumer and other than the carrier, materially takes possession of the goods; from that moment, as by law, the risk of loss of or damage to the Products, for causes not attributable to the Seller, is transferred to the User.

8) OBLIGATIONS OF THE USER ON DELIVERY
8.1 The User acknowledges that the collection of the Products is an obligation arising from the contract of sale concluded with the Seller.
8.2 In the event of non-delivery due to the absence of the addressee at the attempts provided for by the procedure applied by the courier, the package will remain in storage for three days at the nearest SDA branch.
8.3 If, within the terms indicated by the courier in the notice left to the User, the package is not picked up, said package will be returned to the Seller.
8.4. In the case referred to in paragraph 8.3, the contract shall be deemed to be rescinded by right pursuant to art. 1456 cc, with simple notice of the Seller sent by e-mail to the User, and, therefore, the order for all purposes will be canceled. Within 15 days of the above notice, the Seller will then proceed to refund the total amount paid by the User for the Products, minus the costs of the unsuccessful shipment, the costs of returning the Products to the Seller and any other expenses that the Seller has incurred due to non-delivery caused by the absence or inaction of the User in fulfilling its obligation to receive delivery.
8.5 The reimbursement due under clause 8.4 shall be credited to the same means of payment used by the User.
8.6 Following the notice referred to in clause 8.4, the User wishing to request delivery of the Products shall necessarily proceed with a new order.
8.7 The Seller reserves the right to refuse orders from Users against whom the Seller has previously invoked the express termination clause referred to in paragraph 8.4. for non-fulfillment of the obligation to receive delivery of the Products.
8.8 Upon receipt of the Products, the Customer is required to verify the conformity of the same in relation to the order, paying attention, in particular, to ensure that:
- the number of packages indicated on the carrier's letter corresponds to the number of packages actually delivered;
- the packaging is intact and undamaged, nor tampered with.
Any anomalies (such as, for example, tampering, damage to the packaging) must be specifically indicated in writing directly on the courier's transport document, and the User must refuse the delivery. At the same time, the User will be required to report the fact to the Seller's Customer Service, through the appropriate section .
8.9 The User is invited, therefore, to sign the transport document only after the verifications referred to in art.8.8.
8.10 If the User does not proceed in accordance with the preceding points, and, therefore, accepts the delivery of the Products even in the case of damaged or tampered packaging, the User will forfeit the legal guarantee of conformity of the Products.

9) DIRITTO DI RECESSO
9.1 L’Utente, in quanto consumatore, ha diritto di recedere dal contratto di vendita dei Prodotti, come stabilito dall’art. 52 del D.Lgs. n.206/2005 (Codice del Consumo), senza dover fornire alcuna spiegazione e senza penalità.
9.2 L’Utente potrà esercitare il recesso entro 14 giorni dal momento in cui l’Utente, o il terzo diverso dal vettore e designato dall’Utente, acquisirà il possesso fisico dei Prodotti.
9.3 In caso di beni multipli ordinati con un solo ordine e consegnati separatamente, il termine di cui all’art. 9.2 decorrerà dal giorno in cui l’Utente, o il terzo diverso dal vettore e designato dall’Utente, acquisirà il possesso fisico dell’ultimo bene.
9.4 In caso di consegna di un bene costituito da lotti o pezzi multipli, il termine di cui all’art. 9.2 decorrerà dal giorno in cui l’Utente, o il terzo diverso dal vettore e designato dall’Utente, acquisirà il possesso fisico dell’ultimo lotto o pezzo.
9.5 Prima della scadenza del termine di cui all’art. 9.1, l’Utente informerà il Venditore della sua decisione di esercitare il diritto di recesso dal contratto. A tal fine, l’Utente potrà:
i) utilizzare il Modulo tipo di recesso, predisposto in conformità all’allegato I parte B al Codice del consumo, che gli è stato reso disponibile prima della conclusione del contratto, come previsto dall’art. 49 comma 1 lettera h) del predetto Codice, ovvero presentare al Venditore una qualsiasi altra dichiarazione esplicita della sua decisione di recedere dal contratto, ed inviare i predetti a mezzo racc.a.r., ovvero a mezzo fax ovvero a mezzo posta elettronica, ai recapiti già indicati nelle Istruzioni tipo sul diritto di recesso ricevute prima dell’ordine.
ii) compilare ed inviare elettronicamente il Modulo tipo di recesso o qualsiasi altra dichiarazione, sul Sito; nel caso l’Utente scegliesse detta opzione, il Venditore gli trasmetterà senza indugio una conferma di ricevimento del recesso su un supporto durevole (ad esempio per posta elettronica), come previsto dall’art. 54 comma 3 del Codice del Consumo.
9.6 Il termine di recesso si intenderà rispettato con l’invio della comunicazione di recesso prima della scadenza del periodo di recesso, come sopra determinato.
9.7 Nella comunicazione di recesso l’Utente dovrà specificare i Prodotti per i quali intende esercitare il recesso indicando il rispettivo ‘Riferimento ordine’.
9.8 Ricevuta la comunicazione di recesso, se tempestiva, il Venditore rimborserà all’Utente tutti i pagamenti ricevuti, comprensivi delle spese di consegna, con esclusione dei costi supplementari qualora l’Utente abbia scelto espressamente un tipo di consegna diversa dal tipo di consegna standard offerto dal Venditore, senza ritardo e comunque entro 14 giorni dal giorno in cui è informato della decisione dell’Utente di recedere dal contratto; il rimborso verrà effettuato utilizzando lo stesso mezzo di pagamento utilizzato dall’Utente per la vendita in relazione alla quale è stato esercitato il recesso.
9.9 Il Venditore avrà facoltà di trattenere il rimborso finchè non avrà ricevuto i Prodotti oppure sino a quando l’Utente non avrà dimostrato di aver rispedito i beni, a seconda di quale situazione si verifichi per prima.
9.10 L’Utente, una volta esercitato il recesso, dovrà restituire i Prodotti, senza indebito ritardo e comunque entro 14 giorni dalla data in cui ha comunicato al Venditore la sua decisione di recedere dal contratto, mediante spedizione dei predetti al seguente indirizzo, già indicato nelle Istruzioni tipo sul diritto di recesso di cui all’allegato I parte A previsto dall’art. 1 comma 1 del D.Lgs. n.21 del 21.02.2014: Dani group srl, via Caduti sul Lavoro n. 23, 35010 Fontaniva (PD).
9.11 I costi diretti per la restituzione dei Prodotti saranno a carico dell’Utente che esercita il recesso.
9.12 Ai soli fini del rispetto del termine di restituzione, i Prodotti si intendono spediti nel momento in cui sono consegnati all’ufficio postale accettante ovvero allo spedizioniere.
9.13 I Prodotti devono essere restituiti nella confezione originale con la quale sono stati ricevuti, comprensiva di eventuali documenti accessori quali cartellini, etichette, sigilli, ecc..
9.14 Per la restituzione del Prodotto l’Utente potrà avvalersi del servizio postale o di un vettore di propria scelta.
9.15 Tutti i rischi di perdita o di danneggiamento dei Prodotti durante la spedizione al Venditore per il reso sono a carico dell’Utente.
9.16 Come previsto dall’art. 57 comma 2 del Codice del Consumo, l’Utente sarà responsabile della diminuzione di valore dei Prodotti resi risultante da una manipolazione dei predetti diversa da quella necessaria per stabilirne la natura, le caratteristiche e il funzionamento.
9.17 Nel caso in cui, ricevuta la consegna del reso, il Venditore dovesse riscontrare una diminuzione del valore dei Prodotti imputabile all’Utente, il Venditore avrà diritto di compensare l’importo corrispondente alla predetta diminuzione di valore con l’importo da rimborsare all’Utente per effetto del recesso; in tal caso, il Venditore ne darà comunicazione all’Utente entro 14 giorni dal ricevimento del reso.

10) LEGAL GUARANTEE OF CONFORMITY
10.1 All Products marketed through the Site enjoy the legal guarantee of conformity established by Articles 128 et seq. of the Consumer Code, applicable, in any case, only to the consumer.
10.2 Pursuant to the law, the Seller is obliged to deliver to the User goods in conformity with the contract of sale.
10.3 The Seller shall be liable to the User for any defects in conformity of the Products existing at the time of delivery of the aforesaid, which become apparent within two years of delivery.
10.4 In order to benefit from the foregoing warranty, the User must report the lack of conformity to the Seller within two months of its discovery, under penalty of forfeiture, by contacting Customer Service through the appropriate section; such report must contain an accurate and complete description of the disputed defects/faults.
10.5 Customer Service will acknowledge the User's communication and instruct the User to ship the defective product, which will be at the Seller's expense.
10.6 The Seller shall have the right to require the User to enclose with the Product for which it intends to enforce the warranty the purchase invoice or other document evidencing the date of completion of the sale.
10.7 If operative, the legal warranty of conformity shall entitle the User to obtain repair or replacement of the Product, free of charge, at its option, unless the remedy sought is objectively impossible or excessively onerous compared to the other available.
10.8 The User shall have the right to demand, at its option, a reasonable reduction in the price or termination of the contract of sale, only if repair or replacement is impossible or excessively onerous, or the repair or replacement has not been made within a reasonable time, or the repair or replacement made has caused significant inconvenience to the User.
10.9 In no case shall a minor lack of conformity entitle the User to terminate the contract.
10.10 Excluded from the conformity defects and, therefore, from the legal warranty are any defects or damages caused by accidental facts or by the User's responsibility or by use of the Products not in accordance with their intended use, or by normal wear and tear.

11) PRIVACY
11.1 Users' data are processed in accordance with Legislative Decree 196/2003 (Privacy Code), as specified in the information on the processing of personal data provided to the User when filling out the login form.

12.2 All communications that pursuant to the General Conditions are made by e-mail will be transmitted to the address provided by the User during Login.

13) APPLICABLE LAW AND COMPETENT COURT
13.1 The contract of sale concluded pursuant to the General Conditions is governed by Italian law.
13.2 For any dispute that may arise regarding the interpretation of the General Conditions and the execution of the contract concluded pursuant to the aforementioned, the Court of the place of residence or domicile of the User shall have jurisdiction, if the User is a consumer resident or domiciled in Italian territory. If the User is not resident or does not have a domicile in the Italian territory, for any dispute that may arise between the Seller and the User regarding the interpretation of the General Conditions and the execution of the contract concluded pursuant to the aforementioned, in the case of action brought by the Seller, the latter may choose between the Court of Padua (PD) and the Court of the place of residence or domicile of the User, alternatively between them; in the case of action brought by the User, the Court of Padua (PD) shall have exclusive jurisdiction.
